Job Description
- The Compliance and Control Manager will be responsible for end-to-end compliance functions for the business, regulatory reporting while also making recommendations to the business regarding interpretation and implementation of policies, procedures, and processes to address live and/or potential regulatory compliance issues.
- In addition, the Compliance and Control Manager will also aim to support and facilitate the company’s business to be conducted and supervised in compliance with applicable laws, regulations and firm policies, as well as evaluate and ensure effectiveness of the organization’s internal control systems.
Regulatory Compliance:
- Establish operating framework for the identification, management, monitoring and reporting of Compliance risks and issues to the Board and Executive Management.
- Responsible for the development, review and implementation of Compliance Policies and standards and ensuring consistent application across the company
- Develop, implement, and maintain the company’s Anti Money Laundering and Compliance Programs
- Provide advice/guidance to business units, management, and the Board on all compliance issues.
- Responsible for ensuring that the company’s operating framework meets internal and regulatory requirements.
- Develop and implement an annual effective compliance and Money Laundering training programs program (AML/CFT)
- Promote a compliance culture throughout companyby training staff and management officer on compliance related issues
- Providing opinion prior to entering in new markets, introducing new products and services
- Identify, review and evaluate new laws and regulations and keep abreast of all legislative and regulatory developments both locally and globally that might have impact on the company.
- Monitor cases of non-compliance, escalate any issues where non-compliance is not addressed and partner with the responsible unit to ensure timely and conclusive remediation
- Liaise with Risk Management and Legal Units on risk related issues, non-compliance with internal policies, legislation, rules, and regulations, participate in the development of corrective action plans and track it to closure.
- Liaise with regulatory agencies on behalf of the group on Compliance related issues
- Ensure Zero compliance breach and fines for the company
- Develop and implement compliance communication strategy.
- Participate in industry bodies to ensure alignment of Compliance methodology and influence national trends in Compliance Risk Management.
Internal Control:
- Examination and evaluation of the adequacy and effectiveness of the company’s internal control systems.
- Review of the management and financial information systems and the electronic information system.
- Liaise with Risk Management, Audit and FINCON to review the accuracy and reliability of the accounting records and financial reports
- Review of the systems established to ensure compliance with legal and regulatory requirements, codes of conduct and the implementation of policies and procedures.
- Providing of independent assurance and performing consulting assessments on the adequacy and effectiveness of Management, control frameworks and governance processes of all units within the company, aiming at adding value and assisting the companyin achieving its strategic objectives.
- Review of the means of safeguarding assets.

Roles / Responsibilities
Legal Strategy and Advisory Support:
- Conduct legal research and investigation of complaints, claims and lawsuits
- Prepare regular and ad hoc regulatory filings and maintain counterparty due diligence process.
- Ensuring the legal validity of all activities engaged in by the company by offering advice on statutory regulations through documentation preparation, reviews, research, and professional engagement.
- Review Company’s business strategy to ensure same is within the confines of Legal and Regulatory requirements.
- Provide support in conducting Legal Risk Evaluations
- Interpreting laws, rulings and regulations to the Company.
- Support Provision of expert legal advice to support company stake holders and ensure legal compliance of company decisions, processes and documentation.
- Ensure compliance of all procedures regarding the requirement of CAMA and the Articles of the Association.
- Conduct research towards the provision of in-house legal advisories on the activities of the company including but not limited to financial, commercial, transactional and labour relation issues and provision of updates on legal changes that affect their respective businesses and the financial industries as a whole.
- Review credit facilities documents to ensure adequacy and avoid undue exposure to the company.

Job Title: Internal Audit Officer

Job Description
- The Internal Audit Officer will be responsible for providing assurance on the efficient implementation of the company’s policies / processes and ensure compliance to the enterprise risk management, accounting and financial controls and relevant laws, regulations, and statutes.
Responsibilities
Risk and Control Audit:
- Implement best audit and business practices in line with Statements of Auditing Standard (SAS)
- Develop, implement and maintain internal audit policies and procedures in accordance with local and international best practice
- Perform audit work, including plan preparation, work papers, finding, and associated reports; verifies the accuracy of financial records as they pertain to assets, liabilities, receipts, expenditures, and related transactions.
- Perform audit procedures, including identifying and defining issues, developing criteria, reviewing and analyzing evidence, and documenting the Enterprise processes and procedures.
- Assess the effectiveness of internal controls over key risks, identifying significant exposures, analyzing transactions and information, and detecting changes in key risks and/or control effectiveness. Develops appropriate recommendations to address exposures
- Conduct ad-hoc investigations into identified or reported risks
- Identify and assess areas of significant business risk
- Development and implement the annual Internal Audit plan
- Perform Internal Audit procedures including walk-throughs, preparation of narratives and business risk and control matrices; identify control gaps and weaknesses
- Identify and reduce all business and financial risks through effective implementation and monitoring of controls
- Oversee risk-based audits covering operational and financial processes
Documentation and Reporting:
- Examine documentation including reports, statements, records and memos to gather information
- Ensure complete, accurate and timely audit information is reported to the Board through its relevant sub-committee – The Board Audit Committee
- Analyze audit results to determine methods for increasing profits and decreasing unnecessary costs
- Identify, research and document audit issues and recommendations for improvement using independent judgement concerning areas being reviewed.
- Investigate and report to management on cases of potential fraud, waste or abuse.
- Reconcile documentation with assets to ascertain accuracy
- Participate in meetings with individuals and business units to update auditees on findings and the audit process
- Prepare reports and preserve documentation pertaining to audits for internal record
- Undertake other related roles as directed by management.
